Is my cap table data uploaded?
No. Holder names, share counts, valuations and investment amounts stay in your browser. The calculator does not upload, save or share your ownership data, and clearing the page removes the values from the tool.
How many shareholders can I include?
You can include up to 12 rows. A row can represent one person, an investor group, an employee option pool or another fully diluted bucket. Combine holders only when a grouped ownership percentage is useful for your planning question.
How is ownership percentage calculated?
Divide a holder's shares by total fully diluted shares, then multiply by 100. If a founder owns 5 million shares out of a 10 million fully diluted total, the founder owns 50% before any new shares are issued.
How does a priced funding round change the cap table?
The calculator divides pre-money valuation by current fully diluted shares to get the price per share. It then divides the investment by that price to find new investor shares. Existing holders keep the same shares but own a smaller percentage of the larger post-round total.
Does this calculator handle SAFEs or convertible notes?
No. SAFEs and notes may use valuation caps, discounts, interest and document-specific conversion rules. This calculator models common shares, an option pool and one simple priced round only. Use the actual financing documents and professional advice for a legal cap table.
What does fully diluted mean in a cap table?
Fully diluted shares include outstanding shares plus equity that could become shares under the model, such as an employee option pool. The exact definition can vary by financing agreement, especially for warrants and convertible securities, so match the denominator used in the term sheet.
Is post-money valuation the same as company value after the round?
In this simple model, post-money valuation equals pre-money valuation plus the new cash investment. Real transactions can include debt conversion, secondary sales, fees or other terms that make the legal and economic outcome more complex.
